Terms of Service

1. Agreement to Terms

By engaging the services of D & D It Web Development And Consulting LLC ("Company", "we", "us", "our"), you ("Client", "you") agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our services.

2. Services

D & D It Web Development And Consulting LLC provides a range of web development and consulting services, including but not limited to Search Engine Optimization (SEO), Pay-Per-Click (PPC) advertising management, social media marketing, and content creation. The specific scope of services, deliverables, and timelines will be outlined in a separate Statement of Work (SOW) or client agreement.

3. Client Obligations

To enable us to perform our obligations, the Client shall cooperate with us and provide any information, access to accounts (e.g., Google Analytics, ad platforms), and creative assets required for the provision of services. The Client is responsible for the accuracy and legality of all materials provided to us.

4. Payment Terms

Fees for our services will be detailed in the SOW. Typically, services are billed on a monthly retainer basis, payable in advance. Ad spend for PPC campaigns is paid directly by the Client to the respective advertising platform. Late payments may result in a suspension of services and/or late fees.

5. Term and Termination

The initial term of the engagement will be specified in the SOW. Following the initial term, the agreement may continue on a month-to-month basis. Either party may terminate the agreement with 30 days' written notice. Upon termination, the Client is responsible for payment for all services rendered up to the termination date.

6. Intellectual Property

The Client retains ownership of all pre-existing intellectual property and any creative assets provided to us. We retain ownership of our proprietary strategies, processes, and tools used in the provision of services. Any final deliverables created specifically for the Client under the SOW will become the property of the Client upon full payment.

7. Confidentiality

Both parties agree to keep confidential all non-public information received from the other party. This includes business strategies, financial information, and campaign data. This obligation of confidentiality will survive the termination of our agreement.

8. Limitation of Liability

D & D It Web Development And Consulting LLC will perform its services with reasonable skill and care. However, we do not guarantee specific results, such as search engine rankings or conversion rates, as these are subject to factors beyond our control. In no event shall D & D It Web Development And Consulting LLC be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with our services.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which D & D It Web Development And Consulting LLC is registered, without regard to its conflict of law principles.
